1. Introduction

These Terms and Conditions (“Terms”) govern your use of the website www.gspindustries.co.za and the purchase of products and services from GSP Industries (Pty) Ltd (“GSP Industries”, “we”, “us”, “our”).

By accessing the website, browsing it or placing an order, you agree to be bound by these Terms. If you do not agree, you must not use the website.

3.1 You may use the website only for lawful purposes and in accordance with these Terms.

3.2 You agree not to:

  • Use any automated tool to monitor, copy or scrape content without our prior written consent
  • Upload or transmit any content that is unlawful, defamatory, obscene, infringing or otherwise objectionable.

4. Products and services

4.1 GSP Industries manufactures and supplies thermal paper till rolls and related products. Product descriptions, specifications, images and prices on the website are provided in good faith but may contain errors or omissions.

4.2 We reserve the right to change or discontinue products or pricing at any time without prior notice. Such changes will not affect orders already accepted by us.

5. Orders and acceptance

5.1 You may place orders or submit procurement applications through the website, email or other channels indicated by us.

5.2 Your order constitutes an offer to purchase products from us. We are not obliged to accept any order and may reject or cancel an order at our discretion, including in cases of stock unavailability, incorrect pricing, suspected fraud or non-payment.

5.3 A binding contract of sale arises only when we issue written confirmation of acceptance, which may include an invoice, order confirmation or written acceptance of your procurement application.

6. Pricing, payment and EFT

6.1 All prices displayed are in South African Rand and, unless indicated otherwise, are exclusive of value added tax and delivery charges.

6.2 Payment is made by electronic funds transfer (EFT) into the bank account specified on our invoice or order confirmation. We may request proof of payment before processing the order.

6.3 Orders will be released for manufacturing or dispatch only after your EFT payment has cleared in our bank account and has been correctly referenced.

6.4 You are responsible for all bank charges and for ensuring that the correct amount is paid. We are not responsible for delays caused by incorrect references, bank errors or payment to the wrong account.

7. Delivery and risk

7.1 Delivery options, lead times and costs will be communicated during the order process and may vary based on destination and order size.

7.2 Risk of loss or damage to the products passes to you on delivery to your nominated address or to the carrier acting on your behalf, whichever occurs first.

7.3 Title in the products will pass to you only once full payment has been received and cleared.

7.4 We will take reasonable steps to meet estimated delivery dates, but these are not guaranteed and may be affected by factors beyond our control such as courier delays, strikes or load shedding.

8. Quality, inspection and defects

8.1 You must inspect the products upon delivery and notify us in writing of any visible defects, shortages or incorrect items within a reasonable period, preferably within 7 days of delivery.

8.2 Where products are found to be defective or not in accordance with the order, we will, at our option and subject to the Returns and Refund policies, repair, replace or refund the affected items.

8.3 Our liability in respect of defects is limited to the replacement, repair or refund of the products, subject to the conditions set out in sections 9 and 10 below.

9. Limitation of liability

9.1 To the fullest extent permitted by South African law, we are not liable for any indirect, special, incidental or consequential damages, loss of profit, loss of business or loss of data arising out of or in connection with the use of the website or the purchase of products.

9.2 Our total liability for any claim arising from a sale or supply of products will not exceed the amount actually paid by you for the specific order from which the claim arises.

9.3 Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by law, including liability for death or personal injury caused by our gross negligence or fraud.

10. Intellectual property

10.1 All content on the website, including logos, text, graphics, images, product photos and layout, is owned by or licensed to GSP Industries and is protected by South African and international intellectual property laws.

10.2 You may view, download and print content for personal or internal business use only, and you may not copy, modify, distribute or exploit content for commercial purposes without our prior written permission.

11. Privacy

11.1 Our processing of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

11.2 By using the website or submitting personal information, you consent to the processing described in the Privacy Policy.

12. Force majeure

We are not responsible for any delay or failure to perform obligations where such delay or failure is due to events beyond our reasonable control, including acts of God, natural disasters, fires, strikes, lockouts, load shedding, breakdown of equipment, changes in law or failure of third party suppliers.

13. Changes to the Terms

We may revise these Terms from time to time. The updated version will be posted on the website and will apply to your use of the website and any subsequent orders after the date of publication.

14. Governing law and jurisdiction

These Terms, and any dispute arising from them or from the use of the website, are governed by the laws of the Republic of South Africa.

You agree to submit to the non-exclusive jurisdiction of the courts of South Africa, and in particular the courts of Johannesburg, in relation to any dispute.
